Terms of Sale & Licence

These Terms of Sale & Licence ("Terms") govern your purchase and use of the ESRS Pre-Assurance Suite (the "Suite") from Orogen8. Please read them before you buy. By completing your purchase you agree to these Terms. If you have any questions, contact us at [email protected].

1. Who you are buying from

The Suite is sold by Orogen8, an independent sole trader trading as Orogen8 · ESG Solutions, at Rere of 80 South Circular Road, Dublin 8, D08 KWH5, Ireland. Our VAT registration number is IE8056223F. You can reach us at [email protected].

2. The product, price and VAT

The Suite is a digital product, delivered as a download — a complete set of ESRS pre-assurance workpapers together with the supporting setup materials described on the product page. The price is €1,626 plus VAT. Irish VAT at the standard rate (currently 23%) is applied at checkout where chargeable; the exact VAT is shown before you pay. A VAT invoice is issued for every sale, showing our VAT number, the VAT rate, and the net and VAT amounts.

3. Payment and delivery

Payment is processed securely by Stripe. We do not receive or store your full card details. As soon as your payment is confirmed, the Suite is made available to you as a secure download, and a confirmation email with your download link and invoice is sent to you. Your licence includes ongoing access — you may re-download the Suite at any time. Should a download link ever expire or stop working, contact us and we will reissue it.

4. Your right to cancel (consumers)

If you are a consumer, you would normally have the right to cancel a distance purchase within 14 days without giving a reason. The Suite is, however, digital content supplied electronically and made available to you immediately.

At checkout you are asked to confirm that you want immediate access and that you agree supply begins at once. By giving that consent and proceeding to payment, you expressly request immediate performance and acknowledge that you lose your right to cancel once the download has been made available to you. We record this consent together with the date and time it was given.

5. Refunds

Because the Suite is digital content delivered immediately, no refund is available once you have accessed or downloaded it, except where required by law or where the digital content is defective. Nothing in these Terms excludes or limits your non-excludable statutory rights, including your rights under the Consumer Rights Act 2022: if the digital content is faulty, not as described, or not of the expected quality, you are entitled to the remedies the law provides. If something is wrong, email [email protected] and we will put it right.

6. Your licence to use the Suite

On payment, Orogen8 grants you a non-exclusive, non-transferable, non-sublicensable licence to use the workpapers within your organisation — the purchasing entity and its group undertakings — for your own ESG reporting and assurance-readiness purposes.

You may not:

  • resell, redistribute, rent, lend or otherwise commercialise the Suite;
  • sublicense it, or share it or access to it with anyone outside your organisation;
  • publish, distribute or otherwise disclose the methodology to third parties; or
  • use the Suite, or its structure or methodology, to build, train or offer a competing product or service.

All intellectual property rights in the Suite, including its structure, content and methodology, remain the property of Orogen8. No rights are granted to you except the licence expressly set out above.

7. What the Suite is — and is not

The Suite supports your assurance-readiness work only. It is not an assurance engagement, audit, or assurance opinion, and Orogen8 is not your assurance provider. Using the Suite does not guarantee a successful assurance outcome. It is not legal, accounting, tax or other professional advice. You remain responsible for your own reporting and for appointing a qualified assurance provider.

8. Limitation of liability

To the fullest extent permitted by law, Orogen8's total liability arising out of or in connection with your purchase and use of the Suite is limited to the amount you paid for it. We are not liable for any indirect or consequential loss, or for loss of profit, revenue, data, or goodwill. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

9. Free updates

If the ESRS standards are revised, every buyer receives the updated workpapers at no additional cost, in line with the commitment shown on the product page.

10. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction. If you are a consumer, this does not deprive you of the protection afforded by mandatory provisions of the consumer law of the country in which you are resident.

11. Changes to these terms

We may update these Terms from time to time. The version that applies to your purchase is the one published here at the time you buy. The date at the top of this page shows when these Terms were last revised.
